This is a starting draft, not a finished legal document.
It was written to accurately describe what Rosalinda actually does today, so that a licensed attorney reviewing it has a correct factual starting point rather than a generic template. It is not legal advice, and Limitless Enterprises should have it reviewed by its own attorney - and fill in every place marked [BRACKETED] below - before publishing it or relying on it.
These Terms of Service (“Terms”) are an agreement between Limitless Enterprises (“Limitless,” “we,” “us”) and the business that has engaged Limitless for social media management services and been given access to the Rosalinda dashboard (“Client,” “you”). By logging into Rosalinda or using the service, you agree to these Terms on behalf of the business you represent.
Rosalinda is the client-facing dashboard through which Limitless delivers its social media management services: reviewing and approving posts Limitless has prepared for your accounts, scheduling and publishing those posts to the social media platforms you've connected, viewing performance analytics, and communicating with Limitless about your account. Rosalinda is a tool for delivering the service described in your engagement with Limitless [BRACKETED: cross-reference the actual services agreement/contract Clients sign, if one exists separately from these Terms] - it is not itself a general-purpose social media publishing product available to the public.
Limitless creates your Rosalinda login on your behalf when you become a client. You are responsible for keeping your username and password confidential and for all activity under your account. Tell us right away if you believe your login has been compromised. You must provide accurate business and contact information and keep it current in your account settings.
To publish on your behalf, Rosalinda needs to connect to your Facebook, Instagram, and other social media accounts through each platform's own official sign-in process - Rosalinda never asks for or sees your social media password directly. Connecting an account grants Limitless permission to publish content, read and reply to comments/messages, and view analytics on that account, strictly to deliver the services in your engagement. You can disconnect any account at any time from the Accounts tab, which also revokes Limitless's access to it going forward.
Your use of each connected platform remains subject to that platform's own terms of service (for example, Meta's Platform Terms for Facebook and Instagram). Limitless is not responsible for outages, policy changes, feature removals, or account actions taken by those platforms themselves.
You own the content posted to your accounts through Rosalinda - your brand, your business information, and any media you upload. By approving a post or uploading media, you confirm you have the rights necessary to publish it and that it complies with each destination platform's own content policies. You grant Limitless a license to use, reproduce, and publish that content solely to provide the services described in these Terms - nothing here transfers ownership of your content or brand to Limitless.
Content Limitless prepares for your review (captions, creative concepts, scheduling recommendations) becomes yours to use once published to your accounts as part of the service. [BRACKETED: confirm whether Limitless retains any rights to reuse drafted-but-never-published content, e.g. in a portfolio, and state that explicitly if so.]
Posts Limitless prepares appear in your dashboard for approval before anything is scheduled. Once you approve a post - by adding it to your queue or choosing to publish it immediately - it will be published to the connected platform at the time shown, and Limitless is not responsible for content you have approved. You can pause all publishing at any time from Settings, which stops new approvals from going out while it's on.
Your monthly fee is set according to your service tier, shown in your dashboard. [BRACKETED: this section needs the actual billing terms Limitless uses today - how invoicing works, when payment is due, what happens on a missed payment, and whether Rosalinda's current payment-method display is connected to a real payment processor or is a placeholder pending one being wired up. Do not publish this section as-is; it currently describes no real billing mechanism.]
[BRACKETED: state the actual contract term (month-to-month, annual, etc.), notice period to cancel, and what happens to your data and connected accounts when the engagement ends - see the Privacy Policy's data retention section, which currently describes deletion “when the engagement ends,” and make sure this section matches it exactly once the real policy is decided.] Limitless may suspend or terminate access to Rosalinda for a Client that materially breaches these Terms, including by using the service for content that violates a connected platform's policies in a way that puts Limitless's ability to serve other clients at risk.
Rosalinda is provided “as is.” Limitless does not guarantee any particular engagement, reach, follower growth, or business outcome from posts published through the service - social media platform algorithms, policies, and audience behavior are outside Limitless's control. Limitless is not responsible for the availability, accuracy, or conduct of third-party platforms (Facebook, Instagram, and any other connected service).
[BRACKETED: this is exactly the kind of clause that needs an attorney to draft correctly for your jurisdiction and risk tolerance - a generic liability cap pulled from a template can be unenforceable or wrong for your situation. Do not publish a placeholder liability clause.]
[BRACKETED: the state/country whose law governs this agreement, and where disputes are resolved.]
Limitless may update these Terms from time to time. Material changes will be reflected by updating the “Last updated” date above, and, for significant changes, by notifying Clients directly. Continued use of Rosalinda after a change takes effect means you accept the updated Terms.
Questions about these Terms can be sent to [BRACKETED: a real contact email - the codebase currently references raoul@limitlessenterprisespro.com internally as the feedback recipient; confirm this is the right address to publish before using it here].
